CODE OF CONDUCT
1.0 INTRODUCTION
1.1 Purpose
Afribiotech Limited is committed to upholding the highest standards of ethical
business conduct. This Code establishes the principles and expectations that guide
our employees, management, and partners in all aspects of our operations.
1.2 Scope
This policy applies to all employees, officers, management, contractors,
consultants, suppliers, and any third parties acting on behalf of Afribiotech
Limited.
1.3 Commitment
We operate with integrity, transparency, and accountability in compliance with
applicable Nigerian laws, including the Labour Act, Cap L1 , Laws of the
Federation of Nigeria 2004, Companies and Allied Matters Act (CAMA), 2020,
the Corrupt Practices and Other Related Offences Act, 2000 and other relevant
international standards.
2.0 INTEGRITY IN BUSINESS DEALINGS
2.1 All employees and representatives of Afribiotech Limited must act honestly,
fairly, and ethically in all business dealings.
2.2 Business decisions must be made solely in the best interest of the company,
without influence from personal or external interests.
2.3 Fraudulent, deceptive, or dishonest conduct is strictly prohibited and may result
in disciplinary action or legal proceedings.
3.0 ANTI-BRIBERY AND CORRUPTION
3.1 Afribiotech Limited maintains a zero-tolerance policy toward bribery and
corruption in any form.
3.2 Employees, agents, and partners are prohibited from offering, giving,
requesting, or accepting any bribe, kickback, or improper payment.
3.3 Gifts and Hospitality:
● All gifts or hospitality must be reasonable, lawful, and transparent.
● The total value must not exceed ₦10,000 per person per year.
● Any exchange must comply with company approval procedures and local
customs.
3.4 Any suspicion or evidence of bribery or corruption must be immediately
reported to the Compliance Team.
4.0 FAIR COMPETITION
4.1 Afribiotech Limited is committed to fair and open competition.
4.2 Employees must not engage in or tolerate practices that restrict or distort fair
market competition, including:
● Price fixing
● Bid rigging
● Collusion
● Sharing sensitive business information with competitors
4.3 Afribiotech Limited as company comply fully with Nigerian competition and
antitrust laws and applicable international regulations.
5.0 CONFLICT OF INTEREST
5.1 Employees must avoid any activity, investment, or relationship that could
conflict or appear to conflict with the interests of the company
5.2 Examples of potential conflicts include:
● Personal financial interest in a competitor or supplier
● Family or close relationships influencing business decisions
● Use of company resources for personal benefit
5.3 All actual or potential conflicts of interest must be disclosed promptly to the
employee’s Operation manager or the Compliance Team for review.
6.0 ANTI-MONEY LAUNDERING
6.1 Afribiotech Limited is committed to preventing its operations from being used
for money laundering or terrorism financing.
6.2 Employees must conduct appropriate due diligence on customers, suppliers,
and partners.
6.3 Any suspicious or irregular financial transaction must be reported immediately
to the Finance Department or Compliance Team.
6.4 The company maintains internal controls consistent with the Money
Laundering (Prohibition) Act of Nigeria and related regulatory guidelines.
7.0 DATA PROTECTION AND INFORMATION SECURITY
7.1 Afribiotech Limited respects and protects the confidentiality and privacy of all
data entrusted to it.
7.2 All employees and partners must safeguard personal, business, and proprietary
information from unauthorized access, loss, or disclosure.
7.3 The company complies with the Nigeria Data Protection Act (NDPA) 2023
and other relevant privacy regulations.
7.4 Unauthorized access, misuse, or sharing of confidential information may lead
to disciplinary action, termination, or legal liability.
8.0 REPORTING CONCERNS AND WHISTLEBLOWING
8.1 Employees are encouraged to report any actual or suspected violations of this
Code, unethical behaviour, or misconduct through:
● The Operation Manager
● The Compliance Team
● The company’s confidential whistleblowing channel or email
8.2 All reports will be handled confidentially and without retaliation.
8.3 Retaliation against anyone who raises a genuine concern in good faith is strictly
prohibited.
9.0 DISCIPLINARY ACTION
9.1 Violations of this Code may result in disciplinary measures, up to and including
termination of employment or contract.
9.2 In cases involving criminal activity, biotech Limited may refer the matter to
appropriate law enforcement or regulatory authorities.
10.0 POLICY REVIEW AND AMENDMENT
10.1 This policy would be reviewed as necessary to ensure compliance with
applicable laws, regulations, and company values.
10.2 Amendments may be made at the discretion of management, with approval
from the Board of Directors.
10.3 All employees will be notified of any significant changes and are responsible
for familiarizing themselves with the updated policy.
11.0 ACKNOWLEDGEMENT
All employees, contractors, and partners are required to:
